This document describes the business relationship between two independent corporate entities (hereafter referred to as “Party A” and “Party B”). The relationship is based on a framework of mutual benefit, commercial transparency, and long‑term cooperation, with the objective of delivering sustainable value to both parties and their respective stakeholders.Party A and Party B have agreed to collaborate in the areas of product development, service provision, market expansion, and operational support. Each party remains legally and financially independent, and nothing in this relationship shall be construed as creating a partnership, joint venture, agency, or employment relationship. Both parties recognize that the success of the cooperation depends on clear communication, defined responsibilities, and shared performance expectations.The scope of the relationship includes, but is not limited to, joint planning of commercial activities, coordinated marketing initiatives, and the exchange of non‑confidential business information relevant to the agreed projects. Each party is responsible for performing its contractual obligations in a professional, timely, and compliant manner, in accordance with applicable laws and industry standards. Any confidential information exchanged in the course of the relationship will be protected under a separate confidentiality arrangement, which specifies the use, storage, and disclosure limitations.Decision‑making will follow a structured governance model. Designated representatives from each party will meet on a regular basis to review progress, address operational issues, and evaluate new opportunities. Major strategic decisions, including significant changes to scope, pricing, or risk allocation, require written approval from both sides. Day‑to‑day operational matters may be delegated to designated managers who act within the authority granted by their respective organizations.Commercial terms, including pricing, payment conditions, and service levels, will be documented in separate agreements or work orders. These documents will define performance indicators, quality standards, and reporting obligations. In the event of performance deviations or disputes, both parties will first seek to resolve the matter amicably through negotiation and, if necessary, escalate it through the agreed governance structure before considering formal legal remedies.Both parties commit to acting with integrity, avoiding conflicts of interest, and complying with all relevant legal and regulatory requirements, including those related to anti‑corruption, data protection, and fair competition. Either party may terminate the relationship or specific projects subject to the notice periods, conditions, and transition arrangements set out in the applicable agreements. Upon termination, the parties will cooperate to minimize disruption to ongoing business and protect the interests of customers and other stakeholders.This documentation is intended to provide a clear and consistent understanding of the nature, scope, and principles of the business relationship, forming a foundation for effective cooperation and future growth.
